The following License Terms apply to any license granted by AIStock Vision.com (“AIStock Vision”), to a licensee (“Licensee”) with regard to image content marketed and sold by AIStock Vision through its platform AIStockVision.com (“Image”). All uses of an Image must comply with these License Terms.

GRANT OF RIGHTS

Upon full payment of the agreed License Fee (through subscription or one time payment), AIStock Vision grants the Licensee a non-transferable right to use the Image in its maximum available resolution, worldwide, and in perpetuity for the agreed uses.

Unless otherwise agreed, AIStock Vision grants the Licensee the following uses:

INCLUDED

For all licence types: Digital presentations, standard editing rights (cropping or color adapting), commercial and non-commercial use Digital Rights: Use the Image on a website, for digital advertising, in social media, in video clips (YouTube, TikTok, Vimeo, etc.) and other online uses that are not violating our T&Cs. With an exclusive licence these rights are added: Print Rights, TV Broadcast and Outdoor Advertising Rights: Use the Image in print publications (in unlimited copies), print advertising, indoor and outdoor out-of-home displays (OOH), billboards, poster ads.

EXCLUDED

Resell, transfer, or sublicense the Image to any third party (natural person or legal entity, without written permission)
Website templates, design templates, electronic templates, logos, trademarks, service marks, corporate IDs, or other indication of origin,
Exclusive Rights for Standard licenced images,

RESTRICTED USE

The Licensee may not:
Use the Image in any other way or form than expressly set forth in these License Terms or the Image Licensing Services Agreement.
Use the Image in an illegal, offensive, defamatory, racist, or pornographic manner, or in violation of any applicable laws, regulations, and industry codes (e.g., for protection or sports content).
Provide third parties with access to the Image (including in the form of a standalone digital file).
Use an Image and any image information (captions, keywords, location tags, and other metadata) for any machine learning or other artificial intelligence purposes
Falsely represent the original copyright owner of the Image.

AGENCY USE

If the Licensee is an advertising, creative, design, branding, or communication agency or any other entity (“Agency”), acquiring the License on behalf of its customer (“End Client”), the Agency is entitled to assign the licensed rights to the End Client subject to the following conditions:
The Licensee shall be prohibited from charging the End Client more than the License Fee paid to AIStock Vision
The Agency is liable with regard to any breach of these License Terms by the End Client
The Agency may not use the Image for its own purposes or for any other customer. The Agency acknowledges and agrees that it must acquire a new license for each additional customer.

EDITORIAL USE ONLY

This part of the licensing agreement outlines the obligations and responsibilities of both AIStockVision.com (the company providing the image on behalf of the author) and the licensee (the person using the image).
Editorial Use Only: If an image is labeled “Editorial Use Only”, the licensee may not use the image for any commercial purposes and must first secure any required permissions from the relevant rights holders. AIStockVision.com is not liable for any unauthorized usage of the image.
Credit: The licensee must give image credit to the author if it is a standard practice in the industry. For editorial uses, the credit should be “Name of Author / AIStockVision.com”. No credit is necessary for other commercial uses.

CLAIMS & REVOCATION

Third-Party Claims: In the event that the licensee receives any claims from third parties regarding the usage of an image, they must promptly notify AIStockVision.com and take measures to minimize any possible damage. AIStockVision.com is not responsible for any legal fees or costs incurred before such notification.

Revocation of License: AIStockVision.com reserves the right to revoke a license if an image becomes subject to a copyright infringement claim. The licensee must immediately stop using the image and delete any copies. AIStockVision.com will provide a replacement image at no charge.

Licensee’s Guarantees: The licensee confirms and warrants that they have the legal capacity to enter into this license agreement, will use the image in accordance with the agreement, and will indemnify AIStockVision.com for any claims arising from unauthorized use of the image or other violations of the agreement.

Indemnification: AIStockVision.com agrees to defend, indemnify, and hold the licensee harmless from any liabilities, damages, and expenses arising from any breach of AIStockVision.com’s warranty that the usage of the image will not infringe on any rights. This does not apply if any liability arises from modifications made to the image by the licensee or if the image continues to be used after notification from AIStockVision.com of a rights infringement.

LIABILITY

AIStockVision.com’s liability in case of any financial damages due to negligence is restricted to damages that were predictable at the time of the license purchase. AIStockVision.com shall not be held liable for lost profits, indirect, special, incidental, or any other similar damages, or punitive damages. Additionally, AIStockVision.com denies any responsibility for the image information’s accuracy, such as captions, location tags, keywords, and its suitability for a particular purpose or merchantability. AIStockVision.com will not be accountable for any loss or damage incurred by the licensee, end client, or any third party resulting from any technical defects in the image.

TERMINATION

If there is a violation of these License Terms by the licensee (or the end client if the licensee is acting as an agency), AIStockVision.com may immediately terminate the license, and all rights granted will instantly revert back to AIStockVision.com. Upon termination, the licensee must stop using the image immediately, delete it from all data carriers and databases, and inform and obligate the end client accordingly. All statutory rights under applicable laws will remain unaffected.

FINAL CLAUSES

These License Terms are governed by the laws of United Kingdom AND European Union (where applicable), and the competent courts in London. United Kingdom shall have exclusive jurisdiction. The CISG (Convention on Contracts for the International Sale of Goods) will not apply. The headquarters of AIStockVision.com shall be the place of delivery of the rights of use granted under these terms. If any clause in these terms becomes wholly or partially invalid, ineffectual, or unenforceable, the remaining clauses will remain valid and effective.
